Ambassador Programme Terms
These Ambassador Programme Terms ("Terms") govern your participation in the Azimuth Systems Ambassador Programme (the "Programme"). They form a legal agreement between you ("Ambassador", "you") and Azimuth Systems Ltd, a company registered in England and Wales ("Azimuth", "we", "us", "our").
By submitting an application to the Programme and ticking the consent checkbox, you confirm that you have read and agree to these Terms. If you do not agree, do not apply.
These Terms are separate from, and additional to, the consumer Terms of Service that govern your personal use of our apps. Both apply to you.
1. The Programme
The Programme allows approved individuals and institutions to promote our apps (The OOW Bible and, when launched, The EOOW & ETO Bible) using a unique referral link and earn commission on qualifying subscriptions. Acceptance into the Programme is at our sole discretion and may be revoked at any time in accordance with these Terms.
2. Qualifying Referrals
A referral qualifies for commission only when all of the following apply:
- The referred user clicked your unique ambassador link and either created a new account from that session or pasted your referral code into the app within thirty (30) days of the click (the "Attribution Window").
- The referred user successfully purchased a paid subscription via Apple App Store or Google Play following the click.
- The subscription is not subsequently refunded, charged back, or cancelled within Apple or Google's standard refund window.
- The referred user is a new customer who did not have an active or recently expired subscription at the time of the referral.
- The referral was not generated by self-referral, automated traffic, paid search bidding on our brand terms, or any prohibited conduct under section 7.
3. Commission & Bounties
- Individual subscriptions: 20% of the net revenue we receive from each qualifying subscription, paid recurringly for the first twelve (12) months of that subscription's life.
- Institutional / fleet licences: a one-time bounty agreed in writing per deal, payable on receipt of first invoice payment from the institution.
- "Net revenue" means the amount actually remitted to us by Apple or Google after their platform fees, applicable local taxes (VAT, sales tax, GST), refunds, and chargebacks have been deducted.
- Commission figures shown on the public Programme page are illustrative GBP examples based on UK App Store pricing. App Store and Google Play set their own price tiers per country, and local taxes vary, so the cash value of your 20% commission will differ by region.
- We reserve the right to adjust commission rates prospectively on thirty (30) days' written notice. Adjustments do not affect commissions already accrued on existing referrals.
4. Payouts, Currency & Tax
- Commission is calculated monthly and paid out via Stripe Connect once your accrued balance reaches a minimum threshold of GBP 25 (or local equivalent).
- Payouts arrive in the currency of the bank account connected to your Stripe Connect account, at the FX rate available at the time of payout. We do not guarantee any particular FX rate.
- The currency selector on your dashboard is a display preference only — it controls how Total Earnings are rolled up on the dashboard, not the currency in which you are paid.
- You are solely responsible for declaring commission income to the relevant tax authorities in your jurisdiction and for paying any income tax, self-employment tax, VAT, GST, or other applicable taxes. We do not withhold or account for tax on your behalf.
- If your jurisdiction requires us to collect tax forms (e.g. W-8BEN) before paying you, we will request these and may suspend payout until they are received.
5. Refunds, Chargebacks & Clawback
If a referred user receives a refund or initiates a chargeback for a subscription on which you earned commission, that commission becomes void. We will mark the affected conversion as rejected on your dashboard and deduct the corresponding amount from your next payout or, if no payout is pending, from future commission accruals.
If a commission has already been paid out at the time of refund or chargeback, we reserve the right to invoice you for the refund amount or to offset it against future commissions, at our discretion.
6. Use of Marketing Assets
We provide an Ambassador Kit (logos, screenshots, sample captions). We grant you a limited, revocable, non-exclusive, non-transferable licence to use these assets solely to promote our apps and refer customers via your unique link, for the duration of your participation in the Programme.
You may not modify our logos, app icons, brand marks, or product screenshots in any way that misrepresents the products. You may resize images to fit your channel. You may not register domain names, trade marks, or social media handles that incorporate "OOW Bible", "EOOW Bible", "ETO Bible", "Azimuth Systems", or confusingly similar terms.
All intellectual property rights in our apps, the Ambassador Kit, and any related materials remain with us and our licensors. The licence terminates immediately on termination of these Terms.
7. Prohibited Conduct
You must not, in connection with the Programme:
- Bid on our brand terms ("OOW Bible", "EOOW Bible", "ETO Bible", "Azimuth Systems", or variants) in paid search advertising on Google, Bing, or any other platform.
- Send unsolicited bulk email, SMS, or messaging-app messages ("spam") containing your referral link.
- Post fake reviews, ratings, or testimonials, or impersonate a customer who you are not.
- Make any claim that the apps guarantee an exam pass, certify a qualification, or provide operational guidance suitable for safety-critical decisions at sea.
- Impersonate Azimuth Systems Ltd, claim to be an employee or official representative, or hold yourself out as authorised to enter into contracts on our behalf.
- Generate clicks or conversions through bots, automated scripts, click farms, paid-to-click services, or any other artificial means.
- Refer yourself, members of your household, or accounts you control.
- Fail to disclose the affiliate relationship in promotional content where required by law or platform rules (including but not limited to the UK ASA Code, US FTC Endorsement Guides, and platform-specific disclosure requirements on YouTube, Instagram, TikTok, etc.).
8. Disclosure & Compliance
When you promote our apps, you must clearly and conspicuously disclose your participation in the Programme in a manner that complies with applicable advertising laws and platform policies in your jurisdiction. Where in doubt, err on the side of clearer disclosure — examples include "#ad", "#affiliate", or a plain-English statement such as "I earn a commission when you subscribe via my link".
9. Data Protection
In the course of the Programme we will process your personal data (name, email, payout details, application notes) as a data controller. Our Privacy Policy explains what we collect and how we use it.
You acknowledge that when a referred user clicks your link, both you and Azimuth process limited data about that click. We act as independent data controllers in respect of that processing — neither party is the other's processor.
10. Termination
- You may leave the Programme at any time by emailing us at the address below. Your referral link will be deactivated and commission earned up to the date of termination will be paid out at the next scheduled payout cycle.
- We may terminate your participation immediately, with notice, for material breach of these Terms — including any prohibited conduct under section 7.
- We may terminate or suspend your participation on thirty (30) days' notice for any reason or no reason, in which case commission already accrued will be paid out.
- On termination, your licence to use the Ambassador Kit ends immediately and you must remove our marketing assets from any channel you control within a reasonable time, and in any event within thirty (30) days.
11. No Employment Relationship
Nothing in these Terms creates an employment, partnership, joint venture, agency, or franchise relationship between you and Azimuth. You are an independent contractor. You have no authority to bind Azimuth or to make representations on its behalf.
12. Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with the Programme, including but not limited to lost profits, lost commissions, or business interruption.
Our total aggregate liability to you under these Terms in any twelve-month period shall not exceed the total commission paid to you by us in that period.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under English law.
13. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, or liability arising from (a) any misrepresentation you make about our apps, (b) your breach of section 7 (Prohibited Conduct) or section 8 (Disclosure), or (c) your failure to declare or pay tax on your commission income.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified to you by email to the address on your ambassador account, at least thirty (30) days before they take effect. Continued participation in the Programme after the effective date constitutes acceptance. If you do not accept a change, you may terminate your participation under section 10 and any commission accrued up to the date of termination will be paid out.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising under them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
